b) By using this website and/or by submitting a registration for a PHARLEX® pharma license exchange event, whether submitted electronically, using the registration form on www.pharlex.com, via e-mail, by fax, by regular mail or by other means, the user agrees without reservation to any and all of the terms and conditions that are included in these policies, which shall be deemed to constitute a valid agreement between the user and Montalier International Ltd.

c) In spite of our best efforts, the information contained herein may become out of date over time. Nothing on this website should be construed as the giving of advice or the making of a recommendation and it should not be relied on as the sole basis for any decision or action.   

d) Montalier International Ltd. encourages users of this site to seek information also from other sources outside this website, and also to confirm any critical information in writing from Montalier International Ltd. We also encourage users to contact Montalier International Ltd. by mail, fax, telephone, e-mail or by using the submission form on this website.

m) Montalier International Ltd. claims no ownership in, nor any affiliation with, any third-party trademarks appearing in this website. n) Nothing in this agreement is intended to or will create any form of partnership or joint venture, agency, franchise, sales representation or employment relationship between Montalier International Ltd. and the user. No rights to, or property in the website shall pass to the user.

o) Each user will indemnify Montalier International Ltd., its servants and agents, and hold Montalier International Ltd., its servants and agents, harmless against all claims, liability, losses, damages and expenses, including, without limitation, legal fees and costs arising out of or incurred as the result of any claims made, or litigation brought, against Montalier International Ltd., its servants and agents, as a result of the use by user of the website contents or part thereof for whatever purpose.

p) Each user will hold Montalier International Ltd. free of any and all actions against it as a consequence of data supplied by third parties or user, including all reasonable legal costs that Montalier International Ltd. suffer or incur by reason of any claim or the defence of any claim relating to the person or company materials they have displayed on the website and it is acknowledged that Montalier International Ltd. makes no warranties, representations or conditions with regard to any of the contents whether expressed or implied arising by law or otherwise and which have been supplied by the user and any third party and there is no implied warranty of merchantability or fitness for a particular purpose.

q) Montalier International Ltd. makes no guarantees, neither express nor implied, with regard to the outcome of the partnership and other business discussions taking place at or in connection with the PHARLEX® pharma license exchange. The role and responsibility of the PHARLEX® pharma license exchange, its affiliates and agents are limited to the practical arrangement of the event, as specified in the material published by the PHARLEX® pharma license exchange. Anything else, including but not limited to travel arrangements accommodation, other costs incurred in connection with participation at the event, as well as the follow-up and the outcome of the discussions initiated at the event, is the sole responsibility of each participant.

r) Montalier International Ltd. makes no guarantees, neither express nor implied, with regard to the discussions taking place between the participants during the PHARLEX® pharma license exchange. The participants are to be construed as third parties over whom Montalier International Ltd. has no control. As such, Montalier International Ltd. makes no representation as to the accuracy or any other aspect of the information presented during these discussions and do not assume any responsibility for the content nor for any consequences caused by use of any such information. Information and opinions expressed during such discussions are not necessarily endorsed by Montalier International Ltd.

s) Should any viewer of a Montalier International Ltd. published document, including but not limited to the www.pharlex.com website, respond with information, including but not limited to feedback data such as questions, comments, suggestions, or the like, such information shall be deemed to be non-confidential and we shall have no obligation of any kind with respect to such information and shall be free to reproduce, use, disclose, and distribute the information to others without limitation.

Registration and Cancellation

1) Registrations for PHARLEX® pharma license exchange events are considered binding as soon as a registration has been submitted, whether submitted electronically, using the registration form on www.pharlex.com, via e-mail, by fax, by regular mail or by other means.

2) By submitting such registration, the submitting party agrees to pay in full, upon receipt of Registration Confirmation and Payment Instructions, the related registration fee.

3) Except for registrations submitted by individuals without any known company affiliation, all registrations shall be deemed as made in the name of and on behalf of the company mentioned on the registration form and not the individual employee, officer or director of that company. As such, a registration may be transferred to another employee, officer or director of the same company and payments due shall be the responsibility of the company.

4) At any point in time, Montalier International Ltd. reserves the right to accept, to reject or cancel any registration, in which case the submitting party shall not be liable for payment of the registration fee. Any payment due to Montalier International Ltd. shall be nullified and any payment already made by the submitting party shall be reimbursed by Montalier International Ltd.

5) Enrolment has been completed only when full payment has been received by Montalier International Ltd.

6) In case a participant cannot identify any suitable partnering opportunity and no other attendee has requested to meet with such participant, Montalier International Ltd. may transfer free of charge a registration to the next consecutive event, or reimburse the submitting party any registration fee paid, minus a processing fee of US$ 150.00.

7) In case of cancellation for any and all reasons other than mentioned in paragraph 6 above, which is received by Montalier International Ltd. more than 10 working days prior to the event, Montalier may accept solely at its own discretion, that a registration be transferred free of charge to the next consecutive PHARLEX® pharma license exchange event.

8) If transfer of a registration, as described in paragraph 7 above, is not an option, and a cancellation is received in writing by Montalier International Ltd. prior to allowing access to the ‘Profiles’ database, usually occurring one calendar month prior to the respective event, a cancellation fee of US$ 195.00 will be charged to the submitting party’s account, either by deduction of the amount from a refund of payment already received or by separate invoicing in case payment has not been made at the time of the cancellation.

9) The pre-event information exchange, which is initiated by providing usernames and passwords to the ‘Profiles’ database, containing licensing objectives and company profiles of the participants, usually occurring one calendar month prior to the respective event, is considered an integral part of PHARLEX® pharma license exchange.  Access to this database is normally not provided unless full payment, or proof thereof, has been received by Montalier International Ltd.

10) In case an exception has been made and access to the database has been provided prior to receipt of payment, it is clearly understood between the parties that any registration fee still outstanding is payable in full and without delay.

11) In case of cancellation received in writing by Montalier International Ltd. after having allowed access the ‘Profiles’, as described in paragraph 9 above, a cancellation fee equal to 40% of the amount due will be charged to the participant’s account, either by deduction of the amount from a refund of payment already made or by separate invoicing.

12) In case of cancellation for whatever reason, which is received in writing by Montalier International Ltd. less than 10 working days prior to the first day of a PHARLEX® pharma license exchange event, the submitting party will not be entitled to refund nor to transfer of registration to future events, and it is clearly understood between the parties that any registration fee still outstanding is payable in full and without delay.

13) Montalier International Ltd. reserves the rights to modify the program, including the venue, the location and the dates of any PHARLEX® pharma license exchange event. Should such change prevent a participant from attending, the participant shall be entitled to a transfer of the registration to the next consecutive event.

14) In case a transfer has been made of a registration from one PHARLEX® pharma license exchange to another such event, for whatever reason, the registration fee paid is understood to be non-refundable.

15)  Montalier International Ltd. accepts no liability for any direct, indirect, special, consequential or other losses or damages of whatsoever kind arising out of participation or intended participation in PHARLEX® pharma license exchange events. Each participant will indemnify Montalier International Ltd., its servants and agents, and hold Montalier International Ltd., its servants and agents, harmless against all claims, liability, losses, damages and expenses, including, without limitation, legal fees and costs arising out of or incurred as the result of any claims made, or litigation brought, against Montalier International Ltd., its servants and agents. It is acknowledged that Montalier International Ltd. makes no warranties, representations or conditions with regard to any of the events, any of the venues and any of the participants, whether expressed or implied arising by law or otherwise.

16) Travel and hotel arrangements, including but not limited to choice of transportation, ticket purchase and choice of hotel, are the sole responsibility of the participant, for which Montalier International Ltd. accepts no responsibility or liability in accordance with paragraph 15 above.
